The Suwalki Special Economic Zone J.S.C. in Suwalki as the body managing the Suwalki Special Economic Zone, realizing the aims of the establishment of the Zone included in the “Plan for Development of the Suwalki Special Economic Zone” (Dz.U. of 1997 No 17, item 92) invites to:

a)    a tender with the aim of selecting entrepreneurs who will get a license for conducting business activities in the Zone and acquire the rights to the real estate situated in the Zone;
b)    negotiations with the aim of selecting entrepreneurs who will get a license to conduct a business activity in the Zone.

The area where the above said real estate is situated is included in the present plan for spatial development. It is possible to submit offers for parts of the said plots.
2. The criteria of evaluation of the plans related to business activities, which are to be carried out in the Zone and the amount of deposit which should be paid as a condition of participation in the tender is defined in the specification of essential condition of the tender or negotiations.
3. . The specification of essential conditions of the tender can be purchased at the price of 5000 zł + 22% VAT or specification of essential conditions of the negotiations can be purchased at the price of 8000 zł + 22% VAT in offices of sub-zones (addresses given below).
4. Offers should be submitted at the seat of the Board of Directors in Suwalki, at 49 Noniewicza street by 12.08.2010 r. by 12.00.
5. The opening of offers will take place at the seat of the Board of Directors on 12.08.2010 r. by 12.30.

The aforementioned real property which is subject to tender offer is not encumbered with limited property rights and is not subject to liabilities. In addition, the real property is not included in the current local zoning plan, it is only referred to in the decisions by President of Białystok concerning land development conditions for investment consisting in construction of office and administration spaces, warehouses, production and service objects and manufacturing floors intended for non-bothersome business activities in non-excluded industries pursuant to § 2, Section 1, 4-7 of Regulation of Council of Ministers of 10th December 2008 on public assistance provided to entrepreneurs operating under authorization to run business activity in special economic zones.

Reserve price for real property No. 767/15 – PLN 3,100,200 net
(say: three million one hundred thousand two hundred PLN net).
Each tenderer is obliged to deposit a tender guarantee in cash in the amount of PLN 310,020 net (say: three hundred ten thousand and twenty PLN).
Reserve price for real property No. 767/15 – PLN 4,003,500 net
(say: four million three thousand five hundred PLN net).
Each tenderer is obliged to deposit a tender guarantee in cash in the amount of PLN 400,350 net (say: four hundred thousand three hundred and fifty PLN).

Each tenderer is obliged to deposit a tender guarantee in cash in the amount of PLN 467,090 net (say: four hundred sixty-seven thousand ninety PLN).

Each tenderer is obliged to deposit a tender guarantee in cash in the amount of PL-N 549,410 net (say: five hundred forty-nine thousand four hundred and ten PLN).
Reserve price for real property property No. 767/21 – PLN 5,744,200 net
(say: five million seven hundred forty-four thousand two hundred PLN net).
Each tenderer is obliged to deposit a tender guarantee in cash in the amount of PLN 574,420 net (say: five hundred seventy-four thousand four hundred and twenty PLN).

Pursuant to Act on goods and services tax of 11th March 2004 (Dziennik Ustaw [Journal of Laws] No. 54, Item 535) the tender price shall be subject to 22% VAT.
The tender guarantee shall be payable to the account of the City Hall, Depart-ment of Accounting, Kredyt Bank SA Białystok Branch No. II, No. 07 1500 1344 1213 4004 9891 0000, until 26th July 2010 at the latest. The date the tender guarantee is deemed paid shall be the date of crediting the aforementioned bank account.

Additional costs on each real property plot: The Buyer of real property shall bear the cost of real property appraisal and its update costs in the amount of PLN 1,545.33 (including 22% VAT) and the cost of subdivision survey in the amount of PLN 530.70 (including 22% VAT).

Participation in the tender is subject to: purchase of the Specifications of essential tender conditions on the real property which is the subject of the bid, payment of the tender guarantee within the aforesaid time limit, and submission of a written offer together with the terms and conditions of the projects planned for execution in the zone until 12:00 on 29th July 2010 at the seat of the Suwałki Special Economic Zone JSC, address: ul. Noniewicza 49 in Suwałki.
The bids submitted shall be opened by the Committee in the City Hall in Białystok ul. Słonimska 1, hall no. 10 on 30th July 2010 (Friday) at 10.00 am.
The Detailed tender conditions, tender bid evaluation criteria, a description of real property, its available infrastructure, and information necessary for preparing a bid are all contained in the Specifications of essential tender conditions, which is available at the seat of the SSSE JCS in Suwałki for PLN 5,000 + 22% VAT.

A tender bid should include:
1. First name and surname and address of a tenderer, or name or business name and address if a tenderer is a legal person or other entity. Legal persons should submit relevant powers of attorney and updated excerpts from proper registers, and in the case of foreign nationals who are not citizens or entrepreneurs based in any of the Member States of the European Economic Area (pursuant to Act of 24th March 1920 on acquisition of real property by foreign nationals Dziennik Ustaw [Journal of Laws] of 2004, No. 167. item 1758 as amended) authorisation from Minister of Interior and Administration is required for purchase of real property. Updated excerpts from the National Court Register or from other records should be excerpts issued within the last three months. In the case of spouses acting together, in order to effectively participate in the tender procedures it is necessary that both spouses should be present, or only one of them but with the relevant mandate from the other spouse including the other spouse’s consent to acquire real property for consideration,
2. Proper consents from competent statutory bodies of the Tenderer for acquisition of real property covered by the tender,
3. Date the tender bid was prepared.
4. Bidding price offered not lower than the reserve price,
5. Statement that the Tenderer has read the tender conditions contained in the Specifications of essential tender conditions, and acceptance of these tender conditions without reservation.
6. Documents required by the organizer of tender provisioned in the Specifications of essential tender conditions.

TENDER BID ASSESSMENT CRITERIA:
- proposed purchase price of real property – 60%
- planned employment size – 20%
- planned investment size – 15% effort
- nature of proposed business venture in the Zone – 5%

The City of Bialystok reserves the right to repurchase real property within the period of 5 years should the Purchaser fail to develop the real property (i.e. fail to have constructed the building shell) or fail to meet the obligations of the tender bid declared by the Purchaser (as regards the planned investment size or the size of employment), within the period of 4.5 years from the date of purchase. The moment the right to repurchase should be exercised the Purchaser shall transfer the title back to the City of Białystok in exchange for the amount of the purchase price and other costs. The right to repurchase shall be disclosed in the land and mortgage register for the real property.
The City of Białystok has the right of pre-emption under the provisions of Act of 21st August 1997 on real property management (Dziennik Ustaw [Journal of Laws] of 2004, No. 261, Item 2603 as amended).

The Purchaser of real property shall establish free use of the land to the benefit of the Commune of Bialystok consisting in providing accessibility to the land for network management entities in order to perform repairs and maintenance of technical infrastructure devices, and apply for inclusion of the above free use in Section III of the Land and mortgage register.

Should any participant who has been awarded the tender repeal of entering into the real property sale contract, the tender guarantee shall be forfeit pursuant to the principles laid down in the Specifications of essential tender conditions. SSSE JSC reserves the right to cancel the tender for important reasons. SSSE JSC reserves the right to cancel the tender pursuant to § 9, Section 1 of Regulation of Minister of Economy and Labour of 15th November 2004 on tenders and negotiations and assessment criteria regarding business ventures to be taken up by entrepreneurs in the territory of the Suwałki Special Economic Zone (Dziennik Ustaw [Journal of Laws] of 2004, No. 254, Item 2548).

SSSE JSC reserves the right to cancel the tender pursuant to § 9, Section 1 of Regulation of Minister of Economy and Labour of 15th November 2004 on tenders and negotiations and assessment criteria regarding business ventures to be taken up by entrepreneurs in the territory of the Suwałki Special Economic Zone (Dziennik Ustaw [Journal of Laws] of 2004, No. 254, Item 2548).
